Millions of SpaceX Shares Now Tradable, Applying Market Pressure

SpaceX is potentially facing selling pressure as up to 911.5 million shares are set to become available for trading. This development offers certain employees and early investors a chance to sell shares acquired prior to the company’s record-breaking IPO. The stock experienced a significant drop, falling nearly 14% on Wednesday to close at $108.27. This marked the second-largest single-day decline for the company’s shares, which are now about 20% below the IPO price of $135. This downturn comes only a few weeks after SpaceX’s initial foray into the public market.

Initially, SpaceX released only a small portion of its shares for public trading, which created a limited supply and contributed to high demand following the IPO. The upcoming release of additional shares is expected to significantly increase the number of shares available to investors, potentially leading to short-term volatility. However, not all 911.5 million shares will necessarily be sold immediately. Employees and early investors have the option to hold onto their shares or to sell them, with those who bought in at lower valuations before the IPO possibly seeing an incentive to cash in on profits.

SpaceX has implemented a staggered schedule for releasing restricted shares rather than using a single traditional lock-up period. This strategy allows additional shares to be released later in the year, potentially making billions more Class A shares available for trading. Meanwhile, Elon Musk and other senior executives have a longer restriction period, meaning their shares will remain locked up beyond those included in the current release. Given that Musk’s holdings represent a significant portion of SpaceX’s overall value, future executive share unlocks will be closely watched by investors.

The increase in publicly traded shares could also impact SpaceX’s weighting in the Nasdaq-100 index. Currently, its weighting is around 1%, but it could rise above 3.5% depending on both the stock price and the number of shares available at the time of the next index adjustment. While the release of shares may contribute to short-term selling pressure, it does not alter SpaceX’s underlying business fundamentals. Investors are expected to maintain their focus on the company’s financial performance, growth prospects, investments in artificial intelligence, and execution of its long-term strategies.
